Law No. 21,608 extending the deadline for registration and publication of joint stock companies is published

On September 23, 2023, Law No. 21,608 was published in the Official Gazette, which introduces changes to Article 426 of the Commercial Code. These changes imply an extension of the term to carry out the registration and publication of the incorporation and modification extracts of corporations by shares.

Prior to this amendment, the existing legislation contemplated a term of one month from the date of the act of incorporation or corporate modification to complete this procedure, while the new regulation extends such term to 60 calendar days, counted from the date of the act of incorporation or corporate modification. The purpose of this adjustment is to simplify the process of incorporation and modification of joint stock companies, while harmonizing the terms with respect to those applicable to other types of companies, such as limited liability companies and corporations, which already had a term of 60 calendar days to carry out the registration and publication of its extracts.
